Welcome to the world of MOSA ICE! This User Agreement and Conditions of Service (the “Agreement”) constitutes a legally binding contract between you, the user (“you” or “User”), and MOSA ICE INC. (“MOSA ICE,” “we,” “us,” or “our”). This Agreement governs your access to and use of our website, any mobile applications, games, competitions, and all related services (collectively, the “Service”).
By creating an account, accessing our games, or using any part of the Service, you are confirming that you have read, understood, and agree to be legally bound by this Agreement. If you do not agree with any part of these terms, you must immediately cease all use of the Service.
Please also review our Privacy Policy, which is incorporated by reference into this Agreement and explains how we collect, use, and protect your personal information.
1. Eligibility and Account Registration
Age Requirement: The Service is intended solely for users who are eighteen (18) years of age or older. Any registration, use, or access to the Service by anyone under 18 is unauthorized, unlicensed, and in violation of this Agreement. By using the Service, you represent and warrant that you are 18 or older.
Geographic and Legal Eligibility: You are responsible for ensuring that your participation in the skill-based games and competitions offered on the Service is lawful in your jurisdiction. Access to the Service is void where prohibited by applicable law. MOSA ICE makes no representations or warranties, express or implied, as to the lawfulness of your participation.
Account Security: To access most features of the Service, you must register for an account. You agree to (a) provide accurate, current, and complete information during the registration process; (b) maintain the security and confidentiality of your password and account credentials; and (c) accept full responsibility for all activities that occur under your account. You must notify us immediately at [email protected] of any unauthorized use of your account.
2. The Nature of Our Service
MOSA ICE provides a platform for skill-based competitions. The outcome of all games and contests offered through the Service is determined predominantly by the skill of the participants, not by chance. We provide the platform; the skill is all yours.
3. Your Commitments and Rules of Conduct
Your right to use the Service is contingent on your full compliance with this Agreement. You agree that you will not, under any circumstances:
Use cheats, exploits, automation software, bots, hacks, mods, or any unauthorized third-party software designed to modify or interfere with the Service or any game experience.
Engage in any form of fraudulent activity, including but not limited to colluding with other players, using multiple accounts to enter a single competition, or manipulating game outcomes.
Post, transmit, or promote any content that is unlawful, harmful, abusive, harassing, defamatory, vulgar, obscene, or hateful, or that could be racially, ethnically, or otherwise objectionable.
Attempt to disrupt, overburden, or aid in the disruption of any computer or server used to offer or support the Service.
Reverse engineer, decompile, disassemble, decipher, or otherwise attempt to derive the source code for any underlying software or other intellectual property used to provide the Service.
Impersonate any other person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
Use the Service for any commercial purpose, including the transfer or facilitation of any commercial advertising or solicitation.
Violation of these rules may result in immediate suspension or termination of your account and forfeiture of any potential prizes, at our sole discretion.
4. Ownership and Intellectual Property Rights
MOSA ICE Content: The Service and all of its materials, including, without limitation, the software, games, designs, text, graphics, images, video, information, logos, and other files (the “MOSA ICE Content”), are the exclusive property of MOSA ICE INC. and its licensors.
Limited License: We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and MOSA ICE Content for your personal, non-commercial entertainment purposes only. You are not permitted to copy, modify, distribute, sell, or lease any part of our Service or included software.
5. Fees, Payments, and Winnings
Fees: Certain aspects of the Service may require you to pay a fee. You agree to pay all fees and applicable taxes incurred by you or anyone using an account registered to you. We may revise the pricing for the goods and services offered through the Service at any time.
Payments: All payments are processed through third-party payment processors. MOSA ICE does not store your full credit card information. All payments made are final and non-refundable, except as required by law or as otherwise determined by us in our sole discretion.
Prizes and Winnings: All prizes are subject to verification of your eligibility and compliance with this Agreement. Winners are responsible for all federal, state, and local taxes and any other fees or costs associated with prize acceptance and use. We may require you to provide your social security number or other tax information for reporting purposes.
6. Termination of Service
By You: You may terminate this Agreement at any time by ceasing all use of the Service and notifying us via email that you wish to close your account.
By Us: MOSA ICE reserves the right, in its sole and absolute discretion, to suspend, modify, or terminate your access to the Service, or any part thereof, for any reason or no reason, including for breach of this Agreement, without prior notice. Upon termination, your right to use the Service will immediately cease, you will not be entitled to any refunds, and any pending winnings may be forfeited.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS FOR YOUR USE, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT YOU WILL BE ABLE TO ACCESS OR USE THE SERVICE AT THE TIMES OR LOCATIONS OF YOUR CHOOSING; THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE; OR THAT DEFECTS WILL BE CORRECTED.
8. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, MOSA ICE INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF THE SERVICE.
OUR TOTAL CUMULATIVE LIABILITY TO YOU ARISING FROM OR RELATED TO THIS AGREEMENT OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT OF FEES YOU HAVE PAID TO US IN THE SIX (6) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
9. Indemnification
You agree to indemnify, defend, and hold harmless MOSA ICE INC. and its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (i) your access to or use of the Service; or (ii) your violation of this Agreement.
10. Dispute Resolution and Governing Law
Governing Law: This Agreement and any dispute arising out of it shall be governed by the laws of the State of California, without regard to its conflict of law provisions.
Mandatory Arbitration: You and MOSA ICE agree that any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved by binding arbitration. The arbitration will be administered by the American Arbitration Association (“AAA”) in accordance with its Commercial Arbitration Rules.
Class Action Waiver: YOU AND MOSA ICE AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
11. Modifications to the Agreement
MOSA ICE reserves the right, at its sole discretion, to modify or replace this Agreement at any time. We will provide notice of any material changes by posting the new Agreement on our website and updating the "Last Updated" date. Your continued use of the Service after any such changes constitutes your acceptance of the new Agreement.
12. General Provisions
Entire Agreement: This Agreement, together with the Privacy Policy, constitutes the entire agreement between you and MOSA ICE.
Severability: If any provision of this Agreement is held to be invalid or unenforceable, that provision will be struck, and the remaining provisions will be enforced.
No Waiver: Our failure to enforce any right or provision of this Agreement will not be considered a waiver of those rights.
